1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Osphoria website and any Services provided by Osphoria OÜ ("Osphoria").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. About Osphoria

Osphoria is a digital creative studio providing subscription-based creative production services.

Our model combines centralized creative direction with a carefully managed global Creative Network, allowing us to provide flexible Creative Capacity while maintaining consistent quality standards across a wide range of creative disciplines.

Depending on the nature of a project, relevant Client Content may be securely shared with members of our Creative Team whose involvement is reasonably necessary to perform the requested Services. Access is limited to the information required for each person's role and remains subject to confidentiality, intellectual property, and security obligations.

3. Eligibility

Our Services are intended primarily for businesses and organizations.

By engaging our Services, you confirm that you have the legal authority to act on behalf of yourself or the organization you represent.

Our Services are not intended for individuals under the age of 18.

4. The Services

Osphoria provides creative production services which may include video editing, motion design, animation, color grading, sound design, subtitles, captions, creative strategy, research, consulting, and related post-production services.

The exact scope of the Services depends on the applicable Subscription, project agreement, or written proposal.

Osphoria may evolve, modify, expand, or discontinue certain Services at its discretion.

5. Subscription & Creative Capacity

Osphoria provides Services through subscription-based plans designed around Creative Capacity rather than fixed outputs, production hours, or dedicated personnel.

The Deliverables produced during a Subscription depend on factors including project complexity, creative direction, feedback, production requirements, and the selected Subscription.

Unless otherwise agreed in writing, Subscription fees are billed in advance, renew automatically, and remain in effect until terminated by either party.

Clients may cancel their Subscription at any time. Cancellation prevents future renewals but does not entitle the Client to a refund for the current billing period.

6. Client Responsibilities

Clients are responsible for providing clear project information, timely feedback, and all Client Content reasonably necessary for Osphoria to perform the Services.

The Client represents and warrants that it owns, or has obtained all necessary rights, permissions, licenses, and authorizations to provide any Client Content submitted to Osphoria and to authorize Osphoria to use that material for the purpose of delivering the Services.

Clients should provide only the information, materials, credentials, and access reasonably necessary for the requested Services.

Clients may not knowingly solicit, employ, or contract directly with members of Osphoria's Creative Network introduced through the Services during an active engagement or for twelve (12) months following its conclusion without Osphoria's prior written consent.

7. Creative Workflow

Creative production is a collaborative process.

The quality, timeline, and complexity of Deliverables depend on the information, direction, feedback, and approvals provided by the Client.

Revision policies, project workflows, communication channels, and production processes may vary depending on the applicable Subscription or individual agreement.

8. Payments

Subscription fees and other charges are communicated before work begins.

Unless otherwise agreed, all fees are non-refundable due to the customized nature of the Services and the allocation of Creative Capacity.

Payments may be processed through trusted third-party payment providers such as Stripe, PayPal, or similar services.

Prices may be presented or accepted in different currencies. Currency conversion and any applicable payment provider fees are determined by the payment provider.

9. Intellectual Property

The Client retains ownership of all Client Content provided to Osphoria.

Upon full payment of all applicable fees, ownership of the final Deliverables created specifically for the Client transfers to the Client, unless otherwise agreed in writing.

Osphoria retains ownership of its internal processes, methodologies, templates, workflows, software, systems, know-how, and any intellectual property existing independently of the Client's project.

10. Portfolio & Public Display

Unless otherwise agreed in writing or unless the Client has requested confidentiality, the Client grants Osphoria a non-exclusive, worldwide, royalty-free license to display completed Deliverables for portfolio, promotional, educational, recruitment, internal training, and other legitimate business purposes.

Osphoria will not publicly display confidential or embargoed work before it has been officially published or otherwise authorized by the Client.

Clients may request in writing that specific projects not be publicly displayed.

11. Confidentiality

Osphoria treats non-public Client information with appropriate care and will use it solely for purposes reasonably related to providing the Services.

Members of the Creative Team who receive access to Client Content are subject to confidentiality, intellectual property, and security obligations appropriate to their role.

12. Human Creativity & Artificial Intelligence

At Osphoria, we are committed to putting human creativity at the center of all our work. We believe AI tools should be used to support humans and their creativity, rather than trying to replace them.

Every one of our projects is directed, reviewed, and delivered by real creative professionals, with AI serving only as one of many tools that may improve efficiency, organization, quality, accessibility, or technical production.

Depending on the nature of a project, Osphoria and its editors or members of its Creative Network may use AI-assisted tools for tasks such as transcription, translation, upscaling, organization, editing assistance, quality enhancement, or other production-related purposes. These tools are intended to assist our Creative Team in delivering high-quality work and do not replace human creative judgment.

13. Acceptable Use

Clients may not use Osphoria's Services for unlawful purposes or provide materials that infringe the rights of others.

Osphoria reserves the right to refuse or terminate Services involving illegal, fraudulent, abusive, or otherwise inappropriate content.

14. Termination

Either party may terminate the Subscription in accordance with the applicable Subscription terms or written agreement.

Termination does not affect any rights or obligations that arose before the effective termination date.

15. Disclaimers & Limitation of Liability

Osphoria provides the Services using commercially reasonable skill, care, and professional judgment.

Except where prohibited by law, Osphoria shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business opportunities, reputation, or anticipated savings.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

16. Copyright & Intellectual Property Complaints

Osphoria respects the intellectual property rights of others.

If you believe that any material appearing on our website infringes your copyright or other intellectual property rights, please contact us at contact@osphoria.com with sufficient information to identify the material and the basis of your claim.

We will review all legitimate notices promptly and, where appropriate, remove or restrict access to the relevant material while the matter is investigated.

17. Governing Law

These Terms are governed by the laws of Estonia.

Any dispute arising out of or relating to these Terms shall be submitted to the competent courts of Estonia, including the Harju County Court where applicable, unless mandatory law provides otherwise.

18. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Failure by Osphoria to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms constitute the entire agreement relating to the use of the website and Services unless superseded by a separate written agreement.

Osphoria may update these Terms from time to time. The latest version will always be published on our website.
